Table of contents

1. Acceptance and parties

OptaCheck is a multi-tenant business (B2B) service. Typically, a company (the "Organization") subscribes and enables access for its field workers, supervisors and administrators (the "Users"). This EULA applies to both the Organization and each User who accesses the Service.

2. Definitions

Terms relating to personal data are used as defined in the Privacy Policy.

3. License grant

Subject to your compliance with this EULA and payment of the applicable Subscription, Cirus grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Service for the duration of an active Subscription, solely for the Organization's internal field operations.

This license is not a sale. No ownership rights in the Service or its software are transferred to you, and we reserve all rights not expressly granted in this EULA.

4. Subscription, payment and renewal

Access to the Service requires an active paid Subscription. Features, limits, prices, billing cycle and other commercial terms are set out in the plan, order form or commercial agreement entered into between the Organization and Cirus.

5. Accounts, credentials and security

To use the Service you must create an account and provide true, accurate and current information. You are responsible for keeping your credentials confidential and for all activity under your account.

6. Acceptable use and restrictions

You agree not to do, and not to allow any third party to do, any of the following:

The Organization is responsible for complying with applicable labor and data protection law, including law relating to the location monitoring of its workers, and for providing notices and obtaining any required consents (see the Privacy Policy).

7. API and MCP — terms of use

Programmatic access through the API and the MCP server is subject to this EULA and the following additional terms:

8. Mobile application

The Mobile App may request device permissions — including location (even in the background), camera and gallery — needed for field features. Processing of that data is described in the Privacy Policy. You can manage these permissions from your device settings, although disabling them may prevent the use of essential features.

Use of the Mobile App is also subject to the rules of the applicable app store. We may release software updates (including automatic or over-the-air updates), which are likewise governed by this EULA.

9. Intellectual property

The Service and all its content — including, without limitation, the software, design, interface, text, graphics, logos, icons, trademarks, trade names and other elements — are the exclusive property of Cirus or its licensors, and are protected by intellectual property laws.

This EULA grants you no rights in such property except the limited license to use described in section 3. Any unauthorized reproduction, distribution or use is strictly prohibited.

10. Customer data and privacy

As between the parties, the Organization owns the data that it and its Users enter into the Service ("Customer Data"). OptaCheck processes that data to provide the Service, in accordance with the Privacy Policy, which forms an integral part of this EULA.

We will keep Customer Data confidential and apply reasonable technical and organizational measures to protect it. The Organization is responsible for having a legal basis to process the data of its Users and End clients in the Service.

11. Third-party services and content

The Service relies on third-party providers of hosting, infrastructure, synchronization, monitoring and communications (sub-processors), as described in the Privacy Policy. The Service may contain links to third-party sites we do not operate; we are not responsible for their practices or content.

12. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or absolutely secure, without prejudice to warranties that cannot be excluded under applicable mandatory law.

13. Limitation of liability

To the maximum extent permitted by law, Cirus and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, business opportunities or goodwill, arising from the use of or inability to use the Service, even if advised of the possibility of such damages.

In any event, Cirus's total aggregate liability arising out of this EULA will be limited to the amount of Subscription fees actually paid by the Organization to Cirus during the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You and, where applicable, the Organization agree to hold Cirus harmless from any claim, loss or expense (including reasonable attorneys' fees) arising from: (i) use of the Service in breach of this EULA; (ii) unlawful processing of personal data or End-client data; or (iii) infringement of third-party rights.

15. Term and termination

This EULA remains in effect while you use the Service or maintain an active Subscription. We may suspend or terminate your access, in whole or in part, in the event of a breach of this EULA, non-payment, or where necessary for legal or security reasons.

16. Changes, assignment and entire agreement

17. Governing law and jurisdiction

This EULA is governed by the laws of the Republic of Guatemala, without giving effect to its conflict-of-laws rules. The parties submit to the non-exclusive jurisdiction of the competent courts of Guatemala City, Republic of Guatemala, for the resolution of any dispute related to this Agreement.

OptaCheck is used in various Latin American countries. Where a User accesses the Service from a different jurisdiction, the mandatory personal-data-protection and labor-law protections of that jurisdiction that cannot be excluded by contract continue to apply for the User's benefit, regardless of the choice of law above.
